Audit Committee Charter

 The Audit Committee is a standing committee of the Board of Directors (the “Board”) of T-3 Energy Services, Inc., a Delaware corporation (the “Company”). Its primary function is to assist the Board in fulfilling its oversight responsibilities.  Attached is a copy of the T3 Energy Services, Inc. Audit Committee Charter, Revised March, 2010.
